$0.50 Per Share Purchase Price Represents Approximately 204% Premium to Hyperscale Data Class A Common Stock Closing Price on September 30, 2026

LAS VEGAS, Oct. 1, 2026 /PRNewswire/ — Ault & Company, Inc. (“Ault & Company“), a private holding company controlled by Milton “Todd” Ault III, today announced that it has acquired 10,389,404 shares of Hyperscale Data, Inc. (“Hyperscale Data“) common stock at $0.50 per share (the “Private Acquisition“), for an aggregate purchase price of approximately $5.2 million, in a privately negotiated transaction with an institutional investor (the “Seller“).

The Private Acquisition includes 10 million shares of Hyperscale Data’s class A common stock and approximately 389,404 shares of Hyperscale Data’s class B common stock. The transaction involved Ault & Company’s purchase of existing shares from the Seller and did not involve the issuance of new shares by Hyperscale Data.

The $0.50 per share purchase price represents approximately a 204% premium to the closing price of Hyperscale Data’s class A common stock on September 30, 2026.

Following the Private Acquisition, Ault & Company beneficially owns approximately 63.90% of Hyperscale Data’s class A common stock. The purchase has been reported in filings with the U.S. Securities and Exchange Commission, including a Form 4 and Schedule 13D/A.
